Checklist for Registration of an Extra-Provincial Company

Registry of Companies
  1. Must first receive approval of the name of the extra-provincial company. If approved, may reserve the name for 90 days (Section 403). Fee $10.00.
  2. Applicant for registration must then file the following at the registry in duplicate:
    1. Statement on application for registration - Form 24 (PDF: 120 KB) (Section 438(1)).
    2. Statutory Declaration - Form 25 (PDF: 30 KB) (Section 438(2)(a).
    3. Power of Attorney - Form 26 (PDF: 105 KB) (Section 440).
    4. Copy of Constating Documents (Section 438(2)(b)).
      (Articles and Certificate of Incorporation and by-laws, if any)
    5. Registration fees as set out in part VIII and IX of the corporations regulations. (Min. $260.00; Max. $560.00).
  3. If the extra-provincial company operated in Newfoundland and Labrador on the year prior to registration, it must file Form 28 (PDF: 28 KB) returns for each year and pay the required fee of $200.00 per year.
